These Seller Terms & Conditions ("Seller Agreement") govern the relationship between MasterSpiders Innovations Private Limited, the owner and operator of AvailEverything.com ("Company", "AvailEverything", "we", "our" or "us"), and every individual, business, manufacturer, wholesaler, distributor, retailer or other entity ("Seller", "you" or "your") who registers to sell products or services through the Platform.

By registering as a Seller, creating a Seller Account, listing products or accepting orders through AvailEverything.com, you acknowledge that you have read, understood and agree to be legally bound by this Seller Agreement together with our Terms & Conditions, Privacy Policy, Shipping Policy, Return & Replacement Policy, Refund Policy, Warranty Policy, Cancellation Policy and all other applicable marketplace policies.

1. Definitions

For the purposes of this Seller Agreement:

"Platform" means AvailEverything.com, its mobile applications, APIs and all associated services operated by MasterSpiders Innovations Private Limited.
"Seller" means any individual or business registered to sell products or services through the Platform.
"Buyer" means a customer purchasing products or services through the Platform.
"Order" means a purchase successfully placed by a Buyer.
"Product" includes physical goods, digital goods and services permitted on the Platform.
"Marketplace" means the online marketplace operated by the Company.
"Commission" means the fees charged by the Company for facilitating sales through the Platform.
"Business Day" means any day other than a public holiday, Saturday or Sunday in Hyderabad, Telangana, India.

2. Seller Eligibility

To register as a Seller, you represent and warrant that:

You are at least 18 years of age.
You have the legal capacity to enter into binding contracts.
You are authorised to sell the listed products.
You possess all licences, registrations and permits required by applicable law.
The information submitted during registration is accurate, complete and current.
You shall promptly update any information that changes.

The Company reserves the right to reject or suspend any Seller application at its sole discretion where permitted by applicable law.

3. Seller Registration

To sell on AvailEverything.com, Sellers may be required to provide:

Name of the individual or business.
Business address.
Mobile number.
Email address.
Identity verification documents.
Bank account details.
PAN details, where applicable.
GST registration details, where applicable.
Any additional documentation reasonably requested by the Company.

Submission of registration information does not guarantee approval. The Company may conduct verification before activating a Seller Account.

4. Seller Account

Each Seller is responsible for maintaining the confidentiality of their login credentials and for all activities carried out using their Seller Account.

The Seller agrees to:

Use accurate registration information.
Maintain secure passwords.
Notify the Company immediately of any unauthorised account access.
Not transfer or sell the Seller Account to another person without prior written approval.

The Company shall not be responsible for losses arising from unauthorised use of a Seller Account resulting from the Seller's failure to maintain adequate account security.

5. Seller Verification (KYC)

The Company may conduct Know Your Customer (KYC), Anti-Money Laundering (AML) and identity verification procedures before or after activating a Seller Account.

Verification may include:

Identity verification.
Business verification.
Bank account verification.
Address verification.
Tax registration verification.
Document authentication.

Failure to successfully complete verification may result in delayed activation, suspension or termination of the Seller Account.

6. Seller Obligations

Each Seller agrees to:

Sell only products that may legally be sold.
Provide accurate product information.
Maintain adequate inventory.
Dispatch orders promptly.
Provide genuine products.
Comply with all applicable laws and regulations.
Provide customer support where required.
Honour accepted orders unless cancellation is permitted under applicable policies.

7. Product Listings

The Seller is solely responsible for all product listings uploaded to the Platform.

Each listing must accurately describe:

Product name.
Brand.
Specifications.
Images.
Pricing.
Stock availability.
Warranty information.
Return eligibility.
Shipping information.

The Company reserves the right to modify, reject, suspend or remove any listing that violates this Seller Agreement or applicable law.

8. Product Quality and Authenticity

The Seller represents and warrants that all products offered for sale:

Are genuine and authentic.
Are free from counterfeit components.
Comply with applicable safety standards.
Are suitable for lawful sale.
Do not infringe the intellectual property rights of any third party.

The Seller shall be solely responsible for any claims arising from counterfeit, unsafe or unlawful products listed through the Platform.

9. Product Pricing

The Seller shall independently determine the selling price of each product listed on AvailEverything.com, subject to applicable laws and marketplace requirements.

The Seller agrees that:

All prices shall be accurate and not misleading.
Prices shall include all mandatory taxes where required by applicable law unless otherwise indicated.
Artificial price inflation or deceptive pricing practices are prohibited.
The Company may display discounts, promotional offers or coupons in accordance with applicable marketplace campaigns.

The Seller remains responsible for ensuring that the final listed price complies with all applicable pricing regulations.

10. Inventory Management

The Seller shall maintain accurate inventory records for all listed products.

The Seller agrees to:

Update stock availability promptly.
Avoid listing products that are unavailable.
Maintain sufficient inventory to fulfil accepted orders.
Remove discontinued products without unreasonable delay.

Repeated order cancellations due to inaccurate inventory may adversely affect the Seller's performance metrics and account standing.

11. Order Acceptance and Fulfilment

Upon receiving an order, the Seller shall:

Acknowledge the order through the Seller Dashboard.
Verify product availability.
Prepare the order for shipment within the applicable processing time.
Package the product securely.
Comply with all packaging and labelling requirements.

The Seller shall make reasonable efforts to fulfil all accepted orders unless cancellation is permitted under applicable marketplace policies.

12. Shipping Responsibilities

The Seller agrees to dispatch orders within the processing timelines specified on the Platform.

Where shipping services are arranged through AvailEverything.com's logistics partners, the Seller shall:

Package products securely.
Ensure products are ready for pickup.
Provide accurate shipment details.
Cooperate with logistics partners.
Comply with shipping regulations.

Where the Seller uses self-shipping, the Seller remains responsible for timely dispatch, shipment tracking and delivery updates.

13. Returns and Replacements

The Seller shall clearly specify the return and replacement eligibility applicable to each product listing.

Where a return or replacement request is approved, the Seller agrees to:

Respond within the timelines prescribed by the Platform.
Cooperate with return verification.
Arrange pickup where applicable.
Provide a replacement where eligible.
Comply with the Return & Replacement Policy.

The Company may monitor seller compliance and take corrective action where repeated failures occur.

14. Refund Responsibilities

The Seller agrees to honour eligible refunds in accordance with:

The applicable Refund Policy.
The Seller's published refund conditions.
Applicable consumer protection laws.

Where a refund is approved, the Seller shall cooperate with the Company to ensure timely refund processing.

Repeated refusal to honour valid refund requests may result in account restrictions, financial adjustments or suspension.

15. Warranty Obligations

Where a product is sold with a manufacturer warranty, brand warranty or Seller warranty, the Seller shall accurately disclose the applicable warranty terms on the product listing.

The Seller agrees to:

Honour Seller-provided warranties.
Assist customers with valid warranty claims.
Coordinate with manufacturers or authorized service centres where appropriate.
Provide accurate warranty documentation.

False or misleading warranty claims are strictly prohibited.

16. Customer Service

The Seller shall provide courteous, timely and professional customer support for products sold through the Platform.

The Seller agrees to:

Respond to customer enquiries within a reasonable period.
Provide accurate information.
Resolve customer issues in good faith.
Cooperate with AvailEverything.com Customer Support where required.

The Company may evaluate customer service performance as part of seller quality monitoring.

17. Seller Performance Standards

To maintain a high-quality marketplace experience, Sellers are expected to consistently meet reasonable performance standards, including:

Timely order acceptance.
Prompt order dispatch.
Low cancellation rates.
Accurate inventory management.
Low return rates attributable to seller fault.
Compliance with marketplace policies.
Positive customer service performance.

The Company may monitor seller performance and provide recommendations, warnings or corrective actions where performance falls below acceptable marketplace standards.

18. Packaging Standards

The Seller is responsible for ensuring that all products are packaged appropriately to minimise the risk of damage during storage, handling and transportation.

Packaging should:

Protect the product from transit damage.
Comply with applicable shipping requirements.
Include all accessories, manuals and warranty documents where applicable.
Display required labels or regulatory markings.

The Seller may be responsible for losses arising from inadequate packaging where such losses are attributable to the Seller.

19. Marketplace Commission and Service Fees

In consideration for providing access to the Platform and related marketplace services, MasterSpiders Innovations Private Limited may charge commissions, subscription fees, advertising fees, logistics charges, payment processing charges and other applicable service fees.

The applicable fees may vary depending on:

Product category.
Seller subscription plan.
Promotional campaigns.
Logistics services used.
Payment method.
Any separately agreed commercial arrangement.

The applicable fee structure shall be communicated through the Seller Dashboard, pricing schedule or any other official communication issued by the Company. The Company reserves the right to revise its fee structure by providing reasonable notice where required by applicable law.

20. Seller Payments and Settlement

Subject to successful order completion and applicable deductions, eligible sale proceeds shall generally be remitted to the Seller's registered bank account.

Before settlement, the Company may deduct:

Marketplace commission.
Payment gateway charges.
Shipping or logistics charges.
Advertising or promotional charges.
Refund adjustments.
Return-related adjustments.
Applicable taxes.
Amounts recoverable under this Seller Agreement.

Settlement timelines may vary depending on payment verification, return windows, banking procedures, fraud prevention reviews and other operational requirements.

21. Taxes and Regulatory Compliance

The Seller is solely responsible for complying with all applicable tax laws, regulatory requirements and statutory obligations relating to its business and products.

The Seller represents and warrants that it shall:

Maintain valid tax registrations where required.
Issue compliant invoices where applicable.
Collect and remit taxes in accordance with applicable law.
Maintain proper books and records.
Comply with product-specific regulatory requirements.

MasterSpiders Innovations Private Limited shall not be responsible for any tax liabilities arising from the Seller's business operations except to the extent expressly required by applicable law.

22. Intellectual Property Rights

The Seller represents and warrants that it owns or has all necessary rights, licences and permissions to use the trademarks, logos, brand names, product images, descriptions, videos and other content uploaded to the Platform.

By uploading content, the Seller grants MasterSpiders Innovations Private Limited a non-exclusive, worldwide, royalty-free licence to:

Display product listings.
Promote products.
Market the Platform.
Create promotional materials.
Index and display listings through search engines and partner platforms.

The Seller remains responsible for ensuring that uploaded content does not infringe the intellectual property rights of any third party.

23. Prohibited Products

The Seller shall not list, advertise or sell any product prohibited under applicable law or under the Company's Prohibited Products Policy.

Examples include, but are not limited to:

Counterfeit goods.
Stolen property.
Illegal drugs or narcotics.
Weapons prohibited by law.
Explosives.
Hazardous chemicals where prohibited.
Products infringing intellectual property rights.
Restricted wildlife products.
Obscene or unlawful content.
Products prohibited by government authorities.

The Company reserves the right to immediately remove prohibited listings and take appropriate action against the Seller.

24. Prohibited Seller Conduct

The Seller agrees not to engage in any conduct that may harm customers, other sellers or the Platform.

Prohibited conduct includes:

Providing false or misleading information.
Manipulating product reviews or ratings.
Circumventing marketplace fees.
Interfering with Platform operations.
Attempting unauthorized access to Platform systems.
Using automated tools to abuse the Platform.
Selling counterfeit or unsafe products.
Violating applicable laws.

Violation of these provisions may result in suspension, termination, financial recovery or legal action.

25. Data Protection and Confidentiality

The Seller shall maintain the confidentiality of all customer information obtained through the Platform.

The Seller agrees that customer information:

Shall be used solely for fulfilling orders.
Shall not be sold or shared without lawful authority.
Shall be protected using appropriate security measures.
Shall be processed in compliance with applicable data protection laws.

Any unauthorized disclosure or misuse of customer information may result in immediate suspension of the Seller Account and other legal remedies.

26. Marketing and Promotions

The Company may include Seller products in marketplace promotions, seasonal campaigns, advertisements, newsletters, social media posts and other marketing initiatives.

Participation in certain promotional campaigns may be optional or subject to separate commercial terms.

The Seller authorizes the Company to use approved product images, descriptions, trademarks and related listing content solely for promoting the Seller's products and the Platform.

27. Marketplace Monitoring and Audits

To maintain marketplace quality and regulatory compliance, MasterSpiders Innovations Private Limited may periodically monitor Seller activities and conduct operational audits.

Monitoring may include:

Listing accuracy reviews.
Inventory verification.
Order fulfilment performance.
Customer complaint analysis.
Return and refund trends.
Product authenticity verification.
Compliance with marketplace policies.

The Seller agrees to reasonably cooperate with such monitoring and provide information requested for compliance, fraud prevention or quality assurance purposes.

28. Account Suspension and Termination

MasterSpiders Innovations Private Limited reserves the right to suspend, restrict or terminate a Seller Account where reasonably necessary to protect customers, the Platform or comply with applicable laws.

Grounds for suspension or termination may include, but are not limited to:

Submission of false or misleading information.
Failure to complete KYC or verification requirements.
Repeated order cancellations attributable to the Seller.
Poor seller performance.
Sale of counterfeit, unsafe or prohibited products.
Violation of intellectual property rights.
Repeated customer complaints.
Fraudulent or deceptive activities.
Violation of these Seller Terms & Conditions or other marketplace policies.
Compliance with court orders, government directions or legal obligations.

Where reasonably practicable, the Company may provide notice before suspension or termination. However, immediate action may be taken where necessary to protect customers, prevent fraud or comply with legal requirements.

29. Seller Indemnification

The Seller agrees to defend, indemnify and hold harmless MasterSpiders Innovations Private Limited, its directors, officers, employees, affiliates, agents and service providers from and against any claims, losses, liabilities, damages, penalties, costs or expenses (including reasonable legal fees) arising from:

Violation of this Seller Agreement.
Sale of unlawful or prohibited products.
Counterfeit or infringing products.
Defective or unsafe products.
Violation of applicable laws or regulations.
Infringement of intellectual property rights.
Misleading product information.
Acts or omissions of the Seller or its employees, representatives or contractors.

30. Limitation of Liability

To the fullest extent permitted by applicable law, MasterSpiders Innovations Private Limited shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from or relating to:

Marketplace interruptions.
Seller business losses.
Loss of profits or business opportunities.
Delays caused by logistics providers.
Payment gateway failures.
Government restrictions.
Force majeure events.
Actions or omissions of buyers, sellers or third-party service providers.

Nothing contained in this Seller Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

31. Dispute Resolution

The Company encourages Sellers to first attempt to resolve disputes through good-faith discussions with AvailEverything.com Seller Support.

Where appropriate, the Company may facilitate discussions between the Seller, Buyer, logistics partner or payment service provider to assist in resolving disputes.

If a dispute cannot be resolved amicably, either party may pursue remedies available under applicable law.

32. Governing Law and Jurisdiction

This Seller Agreement shall be governed by and interpreted in accordance with the laws of the Republic of India.

Subject to applicable law, all disputes arising out of or relating to this Seller Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

Intellectual Property & Copyright Policy.
DMCA/Copyright Infringement Policy.

Together, these documents constitute the complete agreement governing the Seller's use of the Platform.

35. Severability

If any provision of this Seller Agreement is determined by a court of competent jurisdiction to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

36. Waiver

Failure by MasterSpiders Innovations Private Limited to enforce any provision of this Seller Agreement shall not constitute a waiver of that provision or of any other rights available under applicable law.

37. Amendments

MasterSpiders Innovations Private Limited reserves the right to amend, modify or replace these Seller Terms & Conditions at any time to reflect changes in applicable laws, marketplace operations, technology, commercial practices or regulatory requirements.

Revised terms shall become effective upon publication on AvailEverything.com or on such later date as may be specified. Continued use of the Platform after the effective date constitutes acceptance of the revised terms.

38. Effective Date

These Seller Terms & Conditions shall become effective on 01 August 2026 and shall remain in force until amended or replaced by MasterSpiders Innovations Private Limited.

39. Legal Disclaimer

AvailEverything.com is a technology-enabled online marketplace that facilitates transactions between buyers and independent sellers.

Except where products are expressly identified as being sold directly by MasterSpiders Innovations Private Limited, the Company does not take title to, manufacture, own or warrant products offered by independent sellers.

Each Seller remains solely responsible for product quality, legality, safety, pricing, inventory, warranties, shipping, tax compliance, regulatory compliance and customer obligations relating to products sold through the Platform.

Nothing contained in this Seller Agreement shall be interpreted as creating a partnership, agency, employment, franchise or joint venture relationship between the Company and any Seller.

Nothing in this Agreement limits any statutory rights or obligations that cannot lawfully be excluded under applicable law.

These Seller Terms & Conditions apply to all sellers, merchants, manufacturers, wholesalers, distributors, retailers and service providers using AvailEverything.com, including the website, mobile applications, APIs and any other official sales channels operated by MasterSpiders Innovations Private Limited.
