Welcome to AvailEverything.com ("Platform", "Website", "AvailEverything", "we", "our", "us"), an online eCommerce marketplace owned and operated by MasterSpiders Innovations Private Limited, a company incorporated under the laws of India and headquartered in Hyderabad, Telangana.

These Terms & Conditions ("Terms") govern your access to and use of AvailEverything.com, our mobile applications, APIs, software, products, services, and any other services provided by MasterSpiders Innovations Private Limited.

By accessing, browsing, registering, purchasing, selling, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions, our Privacy Policy, Shipping Policy, Return Policy, Refund Policy, Warranty Policy, Seller Terms & Conditions, and all other policies published on the Platform.

2. Acceptance of Terms

You are legally capable of entering into a binding contract.

The Company provides an online platform that enables sellers to:

Unless expressly stated otherwise, MasterSpiders Innovations Private Limited is not the manufacturer of products sold by independent sellers and does not manufacture, produce or alter products listed by them.

The Company primarily acts as a marketplace facilitator and technology service provider.

4. Eligibility to Use the Platform

You may use AvailEverything.com only if:

You are legally competent to enter into contracts under applicable laws.
You are not prohibited from using online commerce platforms under any applicable law.
Your account has not previously been suspended or terminated by the Company.
You agree to comply with all applicable laws and regulations.

The Company reserves the right to refuse registration or restrict access to any person at its sole discretion where permitted by law.

5. User Registration

The Company does not own all products listed on the Platform.
The Company does not guarantee continuous product availability.
The Company does not warrant that every seller will always maintain inventory.
The Company does not become the legal owner of products merely because they are listed on the Platform.
The sales contract is formed between the buyer and the respective seller, while the Company facilitates the transaction and associated services.

However, the Company may assist in payment processing, logistics coordination, dispute resolution, customer support and fraud prevention to improve the overall marketplace experience.

8. User Responsibilities

Users agree to use the Platform responsibly and in accordance with these Terms.

Users shall not:

Provide false information.
Use another person's account.
Attempt unauthorized access to the Platform.
Interfere with Platform security.
Upload malicious software.
Transmit viruses or harmful code.
Violate intellectual property rights.

You may opt out of promotional communications; however, essential transactional communications relating to your account or orders may continue to be sent.

AvailEverything.com provides an online marketplace where independent sellers may list and offer products for sale to buyers.

Each seller is solely responsible for ensuring that:

Product images represent the actual product.
Pricing is correct.
Inventory information is regularly updated.
Applicable taxes are correctly charged.
The products comply with all applicable laws.
The products do not infringe any intellectual property rights.
The products are genuine and legally permitted to be sold.

MasterSpiders Innovations Private Limited does not routinely verify every product listing and cannot guarantee that every description, image, specification or representation made by a seller is complete, accurate or error-free.

We reserve the right to remove, edit, suspend or reject any product listing that violates our policies, applicable laws or marketplace standards without prior notice.

11. Product Availability

All products displayed on the Platform are subject to availability.

Due to simultaneous orders, inventory synchronization delays or technical issues, a product shown as available may become unavailable before an order is confirmed.

If a product becomes unavailable after an order has been placed, the Company or the respective seller may:

Cancel the order.
Offer an alternative product.
Partially fulfill the order.
Issue a full or partial refund, as applicable.

The Company shall not be liable for any indirect or consequential losses arising from product unavailability.

12. Product Pricing

Prices displayed on AvailEverything.com are determined by the respective sellers unless expressly stated otherwise.

Prices may change without prior notice due to:

Currency fluctuations (where applicable).
Technical corrections.

Although reasonable efforts are made to ensure pricing accuracy, typographical errors, system errors or technical glitches may occasionally result in incorrect pricing.

13. Taxes

Payment authorization is handled through secure third-party payment gateways.

The Company does not store complete payment card information such as CVV numbers or card PINs.

17. Payment Gateway

By making a payment, you also agree to the applicable terms and privacy policies of the respective payment service provider.

Estimated delivery dates are provided for convenience only and should not be interpreted as guaranteed delivery commitments unless expressly stated.

19. Delivery

Customers are responsible for ensuring that the delivery address and contact information provided during checkout are accurate and complete.

If delivery fails because of incorrect information supplied by the customer, additional shipping charges may apply.

Customers should inspect the package upon delivery and promptly report:

Visible damage.
Missing products.
Tampered packaging.
Incorrect items.

Failure to report delivery-related issues within the prescribed period may affect eligibility for claims, subject to applicable law.

20. Order Cancellation

Sellers may be subject to marketplace commissions, subscription fees, payment processing fees, advertising charges or other commercial arrangements as agreed separately under the Seller Terms & Conditions.

The Company reserves the right to revise marketplace fees from time to time. Any revised fees applicable to sellers shall be communicated through the seller dashboard, email or other official communication channels before becoming effective.

22. Returns and Replacements

AvailEverything.com operates as a multi-vendor marketplace where independent sellers determine the return, replacement and exchange eligibility of their respective products, subject to applicable consumer protection laws.

Return eligibility may vary depending on:

The seller's return policy.
The product category.
The condition of the product.
The reason for the return request.
Applicable statutory rights.

Certain products may not be eligible for return or replacement, including but not limited to:

Personal hygiene products.
Customized or personalized products.
Perishable goods.
Digital products.
Gift cards.
Products specifically marked as "Non-Returnable".

23. Refunds

25. Product Information Disclaimer

Product specifications, descriptions, images, manuals, certifications, dimensions, compatibility information and other product details are primarily supplied by the respective sellers or manufacturers.

While reasonable efforts are made to maintain accuracy, the Company does not warrant that every product listing is complete, accurate, current or free from typographical errors.

Minor variations in color, size, packaging or appearance may occur due to manufacturing changes, photography, display settings or supplier updates.

26. Intellectual Property Rights

Unless otherwise stated, all intellectual property rights relating to the Platform are owned by or licensed to MasterSpiders Innovations Private Limited.

This includes but is not limited to:

Trademarks.
Logos.
Trade names.
Software.
Source code.
Designs.
Graphics.
Icons.
Images created by the Company.
Website layout.
Databases.
Business processes.
Documentation.

No content may be copied, reproduced, modified, distributed, published, sold or commercially exploited without prior written permission from the Company or the respective intellectual property owner.

27. Seller Intellectual Property

Each seller retains ownership of its own trademarks, product images, product descriptions, brand names and other intellectual property uploaded to the Platform.

By uploading such content, the seller grants MasterSpiders Innovations Private Limited a worldwide, non-exclusive, royalty-free, revocable license to:

Display products on the Platform.
Promote products through marketing campaigns.
Create catalogs.
Generate search results.
Publish advertisements.
Display product information on partner platforms where applicable.

28. User Generated Content

Users may submit reviews, ratings, questions, answers, comments, photographs or other content through the Platform.

By submitting such content, you represent that:

You own or have permission to publish the content.
The content is accurate.
The content does not violate any law.
The content does not infringe third-party rights.
The content is not defamatory, abusive or misleading.

You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, modify and distribute such content in connection with the operation and promotion of the Platform.

29. Reviews and Ratings

Customer reviews and ratings help improve transparency and purchasing decisions.

The Company reserves the right to remove, edit or reject reviews that:

31. Prohibited Activities

Users shall not engage in activities including but not limited to:

Distribution of malware.

Violation of these provisions may result in immediate suspension, account termination, legal proceedings and reporting to competent authorities.

32. Seller Responsibilities

Every seller using the Platform agrees to:

Sell only genuine and legally permitted products.

Honor confirmed orders.
Ship products within the committed timeline.
Comply with applicable tax laws.
Provide customer support for their products.
Respect intellectual property rights.
Comply with consumer protection laws.

Sellers remain solely responsible for their products, product quality, statutory compliance, warranties, representations and after-sales obligations.

33. Account Suspension and Termination

MasterSpiders Innovations Private Limited reserves the right to suspend, restrict or permanently terminate any account without prior notice where reasonably necessary to protect the Platform, its users or to comply with applicable law.

Grounds for suspension or termination may include:

Violation of these Terms.
Fraudulent activities.
Repeated customer complaints.
Sale of counterfeit products.
Abuse of Platform services.
Non-payment of marketplace fees.
Legal or regulatory requirements.

Termination of an account shall not affect any rights or obligations accrued prior to termination.

34. Marketplace Intermediary Status

AvailEverything.com is a technology-enabled online marketplace owned and operated by MasterSpiders Innovations Private Limited. The Platform primarily facilitates transactions between independent buyers and independent sellers by providing technology infrastructure, payment facilitation, logistics support, customer support and related marketplace services.

Except where a product is expressly identified as being sold directly by MasterSpiders Innovations Private Limited, the Company acts solely as an intermediary marketplace and is not:

The manufacturer of products listed by independent sellers.
The importer or exporter of such products.
The legal owner of products offered by independent sellers.
The distributor or reseller of products listed by independent sellers.
The agent of either the buyer or the seller, except to the limited extent required for facilitating payments, logistics, refunds or customer support.

Each independent seller is solely responsible for:

The accuracy of product descriptions.
Product specifications.
Pricing.
Inventory availability.
Product quality.
Packaging.
Applicable taxes.
Required licenses and statutory registrations.
Compliance with consumer protection laws.
Compliance with product safety regulations.
Warranty obligations.
After-sales service.
Any representations made regarding their products.

MasterSpiders Innovations Private Limited does not independently verify every product listing, seller claim, certification or representation published on the Platform. While reasonable efforts are made to maintain marketplace integrity, the Company does not guarantee the accuracy, completeness or reliability of information supplied by independent sellers.

The Company reserves the right, but shall not be obligated, to review, suspend, modify or remove any product listing, seller account or transaction that appears to violate applicable laws, these Terms & Conditions or any other marketplace policies.

The Company may, at its sole discretion, facilitate communication between buyers and sellers, assist in dispute resolution, coordinate returns, replacements or refunds, or take enforcement actions against sellers. Such assistance shall not be interpreted as creating any agency, partnership, joint venture or employment relationship between the Company and any seller or buyer.

Nothing contained in these Terms shall be construed as making MasterSpiders Innovations Private Limited the manufacturer, supplier or seller of products offered by independent sellers, except where expressly stated on the respective product page.

For products sold directly by MasterSpiders Innovations Private Limited, the Company shall assume the responsibilities applicable to the seller under these Terms and under applicable laws.

35. Limitation of Liability

To the fullest extent permitted by applicable law, MasterSpiders Innovations Private Limited, its directors, officers, employees, affiliates, subsidiaries, partners, agents, licensors and service providers shall not be liable for any indirect, incidental, special, exemplary, consequential or punitive damages arising out of or relating to:

Your access to or use of the Platform.
Any delay or interruption of services.
Temporary or permanent unavailability of the Platform.
Product defects attributable to the manufacturer or seller.
Loss of profits, revenue, goodwill or business opportunities.
Loss of data.
Unauthorized access to your account.
Cyberattacks, malware or security breaches beyond our reasonable control.
Errors in product descriptions or listings provided by independent sellers.
Actions or omissions of sellers, logistics partners or third-party service providers.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

36. Disclaimer

AvailEverything.com is provided on an "AS IS" and "AS AVAILABLE" basis.

MasterSpiders Innovations Private Limited does not guarantee that:

The Platform will always operate without interruption.
The Platform will always be error-free.
The Platform will always be secure.
Every product listed will meet every customer's expectations.
Every seller will continuously maintain inventory.
The Platform will always remain compatible with every browser or device.

All warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, are disclaimed to the maximum extent permitted by law, except where such disclaimer is prohibited.

37. Indemnification

You agree to indemnify, defend and hold harmless MasterSpiders Innovations Private Limited, its directors, officers, employees, affiliates, licensors, agents and service providers from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from:

Your violation of these Terms.
Your misuse of the Platform.
Your violation of applicable laws.
Your infringement of intellectual property rights.
Your fraudulent or unlawful activities.
Your breach of any representation or warranty made under these Terms.

38. Force Majeure

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

45. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India.

Users accessing the Platform from outside India are responsible for complying with the laws applicable in their respective jurisdictions.

46. Dispute Resolution

The Company encourages users to first contact our Customer Support Team to resolve any disputes amicably.

If a dispute cannot be resolved through mutual discussions, the parties may pursue remedies available under applicable law.

Subject to applicable law, the courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the use of the Platform.

49. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, Shipping Policy, Return Policy, Refund Policy, Warranty Policy, Seller Terms & Conditions and all other policies published on AvailEverything.com, constitute the entire agreement between you and MasterSpiders Innovations Private Limited regarding your use of the Platform.

These documents supersede all prior communications, understandings and agreements relating to the subject matter herein.

50. Effective Date

These Terms & Conditions shall become effective on 01 January 2021 and shall remain in force until amended or replaced by the Company.
